1. Agreement to Terms
Welcome to Flux. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the service.
2. Description of Service
Flux provides an AI-powered social media content creation and management platform ("Service"). The Service allows you to:
- Generate AI-powered content suggestions
- Create and edit social media content
- Connect your social media accounts via official platform APIs
- Schedule and publish content to connected platforms
- Analyze content performance
3. Third-Party Platform Integration
3.1 Platform Independence
The Service integrates with third-party social media platforms including Instagram, TikTok, Facebook, and others ("Social Platforms"). These Social Platforms are owned and operated by third parties over which Flux has no control.
3.2 No Guarantee of Access
Social Platforms may, at any time and without notice to Flux or you:
- Change or restrict API access
- Modify platform policies or features
- Suspend, restrict, or terminate user accounts
- Limit posting capabilities
- Change rate limits or usage restrictions
- Discontinue API access entirely
3.3 Platform Compliance
You are solely responsible for complying with the terms of service, community guidelines, and policies of each Social Platform you connect to Flux. You acknowledge that:
- Each Social Platform has its own independent terms and policies
- Flux does not control or determine Social Platform policies
- You must review and comply with each platform's requirements
- Violations of platform policies may result in account restrictions
3.4 Account Issues
You acknowledge and agree that:
- Social Platforms may suspend, restrict, or terminate accounts for any reason
- Flux has no control over platform account decisions
- Flux cannot prevent account suspensions or restrictions
- Flux cannot restore access to suspended accounts
- You should contact the relevant Social Platform directly for account issues
4. User Responsibilities
4.1 Content Responsibility
You are solely responsible for:
- All content you create, edit, and publish through the Service
- Ensuring content complies with applicable laws and regulations
- Ensuring content complies with Social Platform policies
- Accuracy and appropriateness of published content
- Intellectual property rights for content you publish
- Any consequences arising from published content
4.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Securing access to connected Social Platform accounts
4.3 Acceptable Use
You agree not to:
- Violate any applicable laws or regulations
- Violate any Social Platform terms or policies
- Post spam, malicious content, or misleading information
- Infringe intellectual property or privacy rights
- Attempt to circumvent platform rate limits or restrictions
- Use the Service for any illegal or unauthorized purpose
5. AI-Generated Content
5.1 Review Requirement
AI-generated content is provided as suggestions only. You acknowledge that:
- You must review all AI-generated content before publishing
- AI-generated content may contain errors or inaccuracies
- You are responsible for verifying accuracy and appropriateness
- Flux is not responsible for AI-generated content accuracy
5.2 No Guarantee
We do not guarantee that AI-generated content will:
- Comply with Social Platform policies
- Achieve specific engagement or performance metrics
- Be accurate, complete, or suitable for your purposes
- Be free from errors or inappropriate suggestions
6. Service Availability
6.1 "AS IS" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
6.2 No Warranty
Flux does not warrant that:
- The Service will be uninterrupted, error-free, or secure
- Defects will be corrected
- The Service will meet your requirements
- Results obtained from the Service will be accurate or reliable
- Content will successfully post to Social Platforms
- Social Platform integrations will remain available
7. Limitation of Liability
7.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FLUXSOCIAL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Lost profits, lost revenue, or lost sales
- Loss of goodwill or reputation
- Loss of data or content
- Loss of social media accounts or followers
- Business interruption or downtime
- Cost of substitute services
- Account suspension or termination by Social Platforms
- Reduced engagement or reach on Social Platforms
- Any other intangible losses
WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF FLUXSOCIAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Maximum Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLUXSOCIAL'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO FLUXSOCIAL IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR
(B) ONE HUNDRED DOLLARS ($100.00 USD)
7.3 Essential Purpose
You acknowledge that the limitations of liability set forth in this Section 7 are fundamental elements of the agreement between you and Flux, and that Flux would not be able to provide the Service without these limitations.
8. Indemnification
You agree to defend, indemnify, and hold harmless Flux, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any Social Platform terms or policies
- Content you create, edit, or publish through the Service
- Your infringement of any intellectual property or privacy rights
- Account suspension or termination by any Social Platform
- Any claim that your use of the Service caused damage to a third party
9. Changes to Social Platform APIs
Social Platforms may change their APIs, features, or policies at any time without notice to Flux. If a Social Platform:
- Stops providing API features we rely on
- Changes terms that affect our integration
- Restricts or terminates API access
- Modifies rate limits or usage restrictions
We may, at our sole discretion, stop providing access to affected features, and we will not be liable to you for any such changes.
10. Modifications to Service
We reserve the right to:
- Modify or discontinue the Service at any time
- Change features, pricing, or functionality
- Impose limits on certain features or services
- Restrict access to parts of the Service
We will not be liable if we exercise any of these rights.
11. Termination
11.1 By You
You may terminate your account at any time by contacting us or using account deletion features in the Service.
11.2 By Us
We may suspend or terminate your account if you:
- Violate these Terms
- Violate Social Platform policies
- Engage in fraudulent or abusive behavior
- Fail to pay fees when due
11.3 Effect of Termination
Upon termination:
- Your right to use the Service will cease immediately
- We may delete your account data per our retention policies
- Connected Social Platform accounts will be disconnected
- You remain liable for any obligations incurred before termination
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
12.2 Informal Resolution
Before filing a claim, you agree to contact us at legal@fluxsocial.ai to attempt informal resolution.
12.3 Arbitration
Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, rather than in court, except that you may assert claims in small claims court if they qualify.
12.4 Class Action Waiver
You agree that any arbitration or proceeding shall be limited to the dispute between you and Flux individually. To the fullest extent permitted by law, neither you nor Flux will seek to have any dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity.
13. General Provisions
13.1 Entire Agreement
These Terms constitute the entire agreement between you and Flux regarding the Service and supersede all prior agreements.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
13.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
13.5 Changes to Terms
We may modify these Terms at any time by posting revised Terms. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
